Special Terms and Conditions of Sale – LED VICTOR SAS
Last updated: 13 October 2026
1. Payment Terms: Unless otherwise stated on the quotation or invoice, 100% of the order amount shall be paid by bank transfer to the account designated by LED VICTOR SAS prior to shipment, collection, or making the goods available to the customer.
2. Quality Standards: LED VICTOR SAS guarantees that the products supplied conform to the technical specifications and intended uses described in their respective documentation. The products are covered by a commercial warranty period of twenty-four (24) months from the date of delivery. This twenty-four (24) month warranty applies to products sold to end customers. For customers who purchase for resale (resellers), the warranty is limited to a working-order warranty (a guarantee that the products function at the time of delivery); no twenty-four (24) month warranty is granted. Equipment made available for rental is not covered by the twenty-four (24) month commercial warranty.
3. Commercial Terms: The commercial terms applicable to each order, including delivery arrangements, transfer of risks and ownership conditions, shall be those expressly stated in the quotation or invoice issued by LED VICTOR SAS.
4. Manufacturing and Supply: Certain products marketed by LED VICTOR SAS may be manufactured or sourced through selected industrial partners. Such arrangements shall not affect the contractual commitments of LED VICTOR SAS, which remains the sole contractual party and point of contact for the customer.
5. Packaging and Marking: Unless otherwise requested by the customer and accepted in writing by LED VICTOR SAS, the goods shall be packed and prepared in accordance with standard industry practices.
6. Claims: Any claim regarding delivered goods must be submitted in writing within seven (7) calendar days from the date of receipt and must be supported by all necessary evidence, including photographs, videos, reports, or any other relevant documentation. Claims arising from damage attributable to the carrier or any transportation company shall be submitted directly to the relevant carrier in accordance with the applicable regulations.
7. Force Majeure: LED VICTOR SAS shall not be held liable for any delay or failure to perform resulting from force majeure events, including but not limited to war, natural disasters, fire, strikes, supply shortages, disruptions in international transportation, regulatory changes, or administrative decisions beyond its reasonable control.
8. Governing Law and Jurisdiction: Any dispute relating to the interpretation, performance, or termination of an order shall be governed by French law and shall fall under the exclusive jurisdiction of the competent courts within the jurisdiction of the registered office of LED VICTOR SAS, unless otherwise required by mandatory legal provisions.
9. Assignment: No order or contract may be assigned or transferred to any third party without the prior written consent of LED VICTOR SAS.
10. Amendment and Cancellation: No amendment or cancellation of an order shall be effective without the prior written approval of LED VICTOR SAS. Any deposits paid shall remain acquired by LED VICTOR SAS as compensation for costs and commitments already incurred, unless otherwise agreed in writing.
11. Delivery Times: Upon receipt of the agreed payment and subject to product availability, LED VICTOR SAS shall notify the customer of the delivery arrangements by e-mail. Delivery times are provided for information purposes only and depend, among other factors, on manufacturing lead times, international transportation, and customs formalities. Reasonable delays shall not entitle the customer to cancel the order or claim damages.
12. Retention of Title: The goods sold shall remain the exclusive property of LED VICTOR SAS until full payment of the principal amount and all ancillary charges has been received. In the event of partial or total non-payment, LED VICTOR SAS reserves the right to repossess the goods at the customer's expense, without prejudice to any other recovery or indemnification action.
13. Transfer of Risk: The risk of loss, theft, or damage to the goods shall pass to the customer upon delivery or when the goods are made available to the customer, notwithstanding the retention of title clause.
14. Entry into Force: The quotation and these Special Terms and Conditions of Sale shall become effective upon acceptance by the customer, evidenced by the signature of the quotation, the issuance of a purchase order, or the payment of the agreed deposit.
15. Services: LED VICTOR SAS provides technical support and professional guidance regarding the installation and commissioning of the equipment. Any on-site intervention shall be subject to a separate quotation or specific agreement.
16. WEEE / EPR Compliance in the Country of Destination: Unless otherwise expressly agreed in writing, the customer shall be responsible, to the extent permitted by applicable law, for the costs and obligations relating to WEEE (Waste Electrical and Electronic Equipment) and Extended Producer Responsibility (EPR) compliance in the country of destination, including applicable registration, reporting, recycling and environmental contributions. The customer shall ensure compliance with all applicable local requirements where such obligations legally fall upon the customer. This clause shall not exempt either party from any mandatory legal obligation imposed on it under applicable law.
17. Acceptance of Terms: Any order placed with LED VICTOR SAS implies the customer's full and unconditional acceptance of these Special Terms and Conditions of Sale.
